Francisco Augusto da Costa e Silva

Bachelor of Laws (LL.B) at Universidade do Estado do Rio de Janeiro - UERJ (1972); Executive MBA at COPPEAD, Universidade Federal do Rio de Janeiro - UFRJ (1987).

Mr. Costa e Silva started his professional career as an in-house counsel at Banco Nacional de Desenvolvimento Econômico e Social – BNDES (National Bank for Economic and Social Development - BNDES), admitted through a public examination (1974). During his legal career at BNDES, Mr. Costa e Silva held various positions, including being the Head of the Legal Department at BNDESPAR. Mr. Costa e Silva also served as an executive in BNDES, holding the position of Superintendent of several Areas (Financial and International, Capital Markets, and Administrative). He was an Executive Officer at BNDESPAR and BNDES. During this period of time, he was a member of the Boards of Directors at BNDES Pension Fund (FAPES) and at the Rio de Janeiro Stock Exchange.

After serving as Commissioner at the Comissão de Valores Mobiliários - CVM (Brazilian Securities and Exchange Commission) for one and a half years, he was named Chairman of the CVM in August 1995, a position he held until the end of January, 2000. During this time, he was a member of the Comissão da Moeda e do Crédito - COMOC, an advisory body of the Conselho Monetário Nacional (National Monetary Council). Mr. Costa e Silva also presided over the Council of Securities Regulators of the Americas (COSRA) and was a member of the Executive Committee of the International Organization of Securities Commissions (IOSCO).

Mr. Costa e Silva was also a member of the Boards of Directors at various companies, including Banco do Brasil (2001 to 2009) and Vale S.A (2007 to 2010).

From an academic standpoint, Mr. Costa e Silva has been a professor of Commercial Law in the Faculty of Law at UERJ, at Universidade Cândido Mendes - UCAM, and at the Institute of Public Law and Political Science at Fundação Getúlio Vargas. He has also been a lecturer at various other bodies, including the Faculties of Law at Universidade de São Paulo – USP (University of São Paulo), PUC-Rio, Universidade Mackenzie (University of Mackenzie), Escola da Magistratura do Estado do Rio de Janeiro (State of Rio de Janeiro Judge’s School), Escola Paulista da Magistratura (State of São Paulo Judge’s School), IBMEC São Paulo and Instituto Brasileiro de Governança Corporativa - IBGC (Brazilian Institute of Corporate Governance).

Mr. Costa e Silva has been practicing law as a Senior Partner at Bocater, Camargo, Costa e Silva, Rodrigues Advogados since the year of 2000. At the Firm, he worked in: a great deal of transactions in both M&A and Capital Markets; several corporate disputes; and a number of corporate governance projects related to public and private-held corporations. In his practice as an attorney, Mr. Costa e Silva has also provided legal advice concerning strategic corporate decisions.

Currently, in addition to practicing law, Mr. Costa e Silva is serving a mandate on the Board of Directors for CIELO S.A. since 2010, and participating in the Development Council at the Pontifícia Universidade Católica do Rio de Janeiro (PUC-Rio), as well as in the Advisory Council at COPPEAD. He is a member of the Câmara de Arbitragem do Mercado - CAM (Market Arbitration Chamber), which is associated with BM&FBovespa, as well as of the Supervision Council of APIMEC Associação Nacional do Analista de Valores Mobiliários (National Association of Securities Analysts). He is also a member of IBGC.
