Veronica Reade

Veronica has solid experience in corporate law, regulatory matters and capital markets, advising clients from various sectors on contractual issues, enforcement proceedings before CVM (Brazilian SEC), drafting of corporate documents, assisting publicly-held companies in its compliance with CVM regulation, corporate governance matters, legal opinions, among other topics.

Her previous experience includes working at renowned law firms and advising domestic and international clients in the fields of corporate law and arbitration.

She is a co-author of the articles

“Earn-Out Structures: Balancing Deal Certainty and Post-Closing Disputes,” published in Arbitragem e Mediação no Direito Privado e no Direito Público – Estudos em Homenagem a Selma Ferreira Lemes;

“Insider Trading in Investment Funds: Regulatory Developments and Practical Implications,” published in Fundos de Investimento: A Resolução 175 e Outros Temas – Vol. I; and

“Arbitration Clauses in Investment Funds: Binding Effects on Investors and Service Providers,” published in Justiça, Igualdade e Socialidade – Estudos em Homenagem aos 30 anos de docência do Professor Guilherme Calmon Nogueira da Gama.

She has also contributed to the English translation of Brazil’s Arbitration Act (Law No. 9,307/1996, as amended by Law No. 13,129/2015), in collaboration with the Brazilian Arbitration Committee (CBAr) (access translation).
